Description

Company Secretary (ACS) – LLP Compliance and ROC/MCA Filings | Gurugram | Full-time, Work from Office

We are hiring a qualified Company Secretary (ACS, ICSI member) with 2-3 years of post-qualification experience and hands-on LLP compliance expertise for a fast-growing fintech platform in Gurugram. You will own LLP filings (Form 3, Form 4, Form 8, Form 11), ROC/MCA compliance under the Companies Act, 2013, board and AGM secretarial work, and a master compliance calendar across multiple entities.

Location: Gurugram, Haryana (work from office) | Experience: 2-3 years post-qualification | Equity participation for the right long-term fit

ABOUT THE COMPANY

A fast-growing Gurugram-based fintech platform that lets retail investors own fractions of premium residential real estate. Inventory is sourced from Grade-A developers and investor money moves through a trustee-backed escrow framework. The founding team comes from leading consumer internet and fintech companies.

ABOUT THE ROLE

This is the core compliance role in the company. You will own the company secretarial and statutory compliance function across all entities, end to end.

The main lift is LLP compliance. Each property onboarded sits in its own LLP, and partners move in and out of these LLPs regularly. You will manage every partner addition, cessation and change, keep each LLP‘s filings current, and maintain clean, audit-ready records across all of them. Alongside this, you will run company secretarial and ROC/MCA compliance for the private limited company.

POSITION SNAPSHOT

• Role: Company Secretary – LLP and Corporate Compliance

• Location: Gurugram, Haryana – work from office, full-time

• Experience: 2-3 years post-qualification (CA or CS firm background preferred)

• Qualification: Qualified Company Secretary (ACS), member of ICSI – mandatory

• Compensation: Fixed pay plus equity participation for the right long-term fit

• Reports to: Founders / Finance leadership

KEY RESPONSIBILITIES

LLP compliance (the core of the role)

• Manage all monthly MCA/ROC filings across every LLP on the platform

• Handle end-to-end documentation for partner admission, cessation, transfer, capital contribution changes and amendments to LLP agreements

• File the required forms (Form 3, Form 4) accurately and on time for each LLP event

• Manage annual LLP filings (Form 8, Form 11) across all entities

• Maintain clean, audit-ready records for every LLP – partner registers, capital contribution records, executed agreements and a live compliance tracker

Company secretarial and ROC/MCA compliance

• Manage ROC and MCA compliances for the company, including annual filings (AOC-4, MGT-7)

• Draft notices, agendas, resolutions and minutes for board meetings, committee meetings and AGMs

• Maintain statutory registers, shareholding records and minute books

• Support share allotments, transfers and issuance of share certificates

• Maintain and update director and KYC filings (DIR-3 KYC)

Across all entities

• Build and maintain a master compliance calendar so no deadline is missed

• Coordinate with finance, legal, auditors and designated partners for timely sign-offs and filings

• Flag compliance gaps and risks early, and propose fixes

• Keep records organised and retrievable for audits, due diligence and investor requests

REQUIRED SKILLS AND QUALIFICATIONS

• Qualified Company Secretary (ACS), member of ICSI – mandatory

• 2-3 years of post-qualification experience, ideally in a CA or CS firm

• Solid understanding of the Companies Act, 2013 and routine ROC/MCA compliance

• Fluent on the MCA V3 portal, e-forms and statutory documentation

• Strong drafting skills across resolutions, minutes and notices

SOFT SKILLS

• Disciplined with records and deadlines

• Comfortable managing compliance across many entities at once

• Independent owner who can run the function without a large team

• Candidates who need a large team around them – you will own this function for now
