1. Acceptance of Terms
Welcome to HireXL ATS ("we", "our", "us"), an Applicant Tracking System developed and operated by Savanna HR, headquartered in Gurgaon, Haryana, India. By accessing or using our platform, you agree to comply with and be bound by these Terms of Service ("Terms").
If you do not agree with these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and Savanna HR.
2. Description of Services
HireXL ATS is a cloud-based Applicant Tracking System that enables businesses to:
- Manage end-to-end recruitment processes (sourcing, screening, scheduling, offers)
- Communicate with candidates through integrated channels including WhatsApp Business API
- Track candidate pipelines, interview workflows, and hiring analytics
- Authenticate users via Facebook Business Login
- Generate recruitment reports and dashboards
3. Facebook & WhatsApp Integration
3.1 Account Connection
HireXL ATS allows users to connect their Facebook Business Account to enable WhatsApp messaging features. By connecting your account, you:
- Authorize us to access permitted Facebook and WhatsApp Business data as described in our Privacy Policy
- Agree to comply with Facebook (Meta) Platform Terms and WhatsApp Business Policies
- Acknowledge that your use of these integrations is subject to Meta's own terms of service
3.2 User Responsibility: You are responsible for maintaining credential confidentiality, ensuring organizational authorization, complying with Meta and local law requirements, and obtaining and maintaining proper candidate consent records before WhatsApp messaging. 3.3 Messaging Compliance: You agree to message only opted-in candidates, retain consent records, avoid spam or unlawful content, use approved templates where required, and honor opt-out requests within 24 hours. Failure to comply may result in immediate suspension or termination of your HireXL ATS account and WhatsApp integration access.
4. User Accounts
- You must provide accurate, current, and complete registration information
- You are responsible for all activities that occur under your account
- You must maintain the confidentiality of your login credentials
- Unauthorized use or suspected security breaches must be reported immediately to facebook@savannahr.com
- We reserve the right to suspend accounts that appear to be compromised
5. Acceptable Use
You agree not to:
- Use the platform for any illegal, fraudulent, or unauthorized purposes
- Interfere with, disrupt, or attempt to compromise system integrity or security
- Attempt unauthorized access to data, accounts, or systems belonging to other users
- Use automated tools (bots, scrapers) to extract data from the platform without authorization
- Upload malicious content, viruses, or code designed to harm the platform
- Discriminate against candidates based on protected characteristics in violation of applicable employment laws
6. Intellectual Property
Our Property: HireXL ATS, including its name, logo, design, source code, algorithms, documentation, and all related intellectual property, is owned by Savanna HR. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during the term of your subscription.
Your Data: All recruitment data, candidate information, resumes, and other content uploaded by you remains your property. By using HireXL ATS, you grant us a limited license to process, store, and display this data solely for the purpose of providing our services to you.
7. Subscription and Payments
HireXL ATS may be offered under various subscription plans:
- Free tier (limited features) and paid plans (full features) may be available
- Paid subscriptions are billed on a monthly or annual basis as selected at the time of purchase
- Prices are subject to change with 30 days' prior notice
- Refunds: If you cancel within 7 days of purchase and have not used the paid features substantially, you may request a full refund. After 7 days, refunds are at our discretion
- Non-payment may result in downgrade to free tier or account suspension
If HireXL ATS is currently offered free of charge, this section will apply once paid plans are introduced.
8. Data Usage
Your use of HireXL ATS is also governed by our Privacy Policy, available at https://savannahr.com/privacy-policy. We only process data necessary to provide recruitment and messaging services. You are responsible for ensuring that your use of candidate data complies with all applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act).
9. Third-Party Services
HireXL ATS integrates with third-party services, including:
- Meta Platforms, Inc. (Facebook Login, WhatsApp Business API)
- Cloud infrastructure providers (e.g., AWS, Google Cloud)
We are not responsible for service interruptions, downtime, or errors caused by third-party platforms, changes in third-party policies, APIs, or pricing that may affect HireXL functionality, or data processing practices of third-party services beyond our control.
10. Service Availability
We strive to maintain platform availability and target 99.5% uptime on a monthly basis. However, we do not guarantee continuous, uninterrupted availability or error-free operation at all times.
Planned maintenance will be communicated at least 24 hours in advance via email or in-app notification. Features may be modified, enhanced, or discontinued as the platform evolves.
11. Termination
We may suspend or terminate your access if:
- You violate these Terms of Service
- You misuse WhatsApp or Facebook integrations in violation of Meta policies
- Required by law, court order, or platform policies
- Your account remains inactive for more than 12 consecutive months
You may stop using the service and request account deletion at any time by contacting hello@savannahr.com. Upon termination, your data will be handled in accordance with our Privacy Policy.
12. Limitation of Liability
HireXL ATS is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we are not liable for:
- Message delivery failures, delays, or WhatsApp service disruptions
- Loss of data due to third-party service disruptions or force majeure events
- Any indirect, incidental, special, consequential, or punitive damages
- Hiring decisions made based on data processed through the platform
Our total liability for any claim arising from your use of HireXL ATS shall not exceed the amount paid by you to us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Savanna HR, HireXL ATS, its officers, directors, employees, and agents from any claims, damages, losses, or liabilities (including reasonable legal fees) arising from:
- Your misuse of the platform or violation of these Terms
- Your violation of applicable laws, including data protection and employment laws
- Your breach of Meta platform policies or WhatsApp Business policies
- Any claim by a third party (including candidates) related to your recruitment practices
14. Dispute Resolution
In the event of any dispute arising from or relating to these Terms:
- Step 1 - Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days
- Step 2 - Mediation: If negotiation fails, the parties shall attempt mediation through a mutually agreed mediator
- Step 3 - Arbitration: If mediation fails, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Gurgaon, Haryana
The language of arbitration shall be English. The arbitration award shall be final and binding.
15. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to the arbitration clause above, the courts of Gurgaon, Haryana, India shall have exclusive jurisdiction over any disputes arising from these Terms.
16. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated through email notification or in-app notice at least 15 days before they take effect. Continued use of HireXL ATS after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the service.
